Terms of Service

1. Agreement to Terms

These Terms of Service constitute a legally binding agreement between you and Linnovative Solutions, Inc. ("we," "us," or "LeapSTK") governing your access to and use of the LeapSTK platform, including any associated mobile applications, websites, and services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Service Description

LeapSTK provides a workforce management platform designed to help organizations manage their frontline operations, including crew lineups, forms, action management, learning management, standard operating procedures, and strategic deployment.

3. Accounts and Registration

To use certain features of the Service, you must register for an account. When you register, you agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your internal business purposes.

5. User Content

When you submit, upload, or otherwise make available any content to the Service ("User Content"), you grant LeapSTK a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, distribute, and display such User Content in connection with providing and promoting the Service.

You represent and warrant that: (i) you own or have the right to use and provide all User Content; (ii) the User Content does not infringe any third party's intellectual property rights or violate any applicable laws; and (iii) the User Content does not violate these Terms.

6. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Using the Service for any illegal purpose or in violation of any laws
• Uploading or transmitting viruses, malware, or other malicious code
• Interfering with or disrupting the integrity or performance of the Service
• Attempting to gain unauthorized access to the Service or related systems
• Using the Service to send unsolicited communications
• Harvesting or collecting user information without permission
• Impersonating another person or entity

7. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by LeapSTK and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

These Terms do not grant you any rights to use LeapSTK's trademarks, logos, domain names, or other distinctive brand features.

8. Data Privacy

Our collection and use of personal information in connection with the Service is governed by our Privacy Policy.

9. Third-Party Services

The Service may contain links to third-party websites or services that are not owned or controlled by LeapSTK. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason.

Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination.

11. Limitation of Liability

In no event shall LeapSTK, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

12. Warranty Disclaimer

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the province of Ontario, Canada, without regard to its conflict of law provisions.
